You will learn how to best represent clients by creatively structuring, coordinating and managing M&A transactions. In addition, you will receive an introduction to the documents used in structuring deals and a thorough overview of U.S. federal regulations that directly or indirectly affects deal making. Topics include: choosing the deal structure, due diligence, deal negotiations, takeover defenses, employment agreements, stockholder agreements, and overcoming roadblocks.
