International Mergers and Acquisitions Seminar
Professor M. Levitin J.D. Seminar 192 (cross-listed) | 2 credit hours This is a seminar on international mergers and acquisitions. The first portion of the course addresses mergers and acquisitions involving U.S. companies in more detail than typically permitted by the basic corporations course. The purpose of this portion is to provide both a grounding in M&A and a point of comparison for issues that arise in international M&A. The second portion of the seminar addresses international mergers and acquisitions, including acquisitions of businesses outside the U.S., special rules governing national regulation of international acquisitions, and U.S. regulation of cross-border tender offers. This is a seminar: class attendance is mandatory, and class participation counts towards the final grade. Course requirements include class participation and a final paper. The following courses are prerequisites for the seminar: Corporations, Securities Regulation, and International Law I. This class cannot be taken for credit with either Mergers and Acquisitions or Takeovers, Mergers, and Acquisitions. Prerequisites: Corporations, Securities Regulation, and International Law I.
