This course will focus on the corporate governance law, regulation and policy surrounding companies in Asia. Financial crisis and corporate scandals continue to plague economies around the world and Asia is no exception. Despite differences in legal tradition, social history, and economic development, a comparative understanding of the governance of Asian corporates is sought by investors, analysts and policymakers alike. Asian companies, whether justified or not, are often viewed through the same prism. A comparative analysis will help reveal what similarities are relevant and what type of convergence in law and norms is occurring, if at all.

This seminar will consider a broad range of governance issues under both under national systems and international norms and policy from a comparative perspective. The role of cross-border investment, mergers and acquisitions among companies and stock markets, independent directors, institutional investors, gatekeepers such as accountants, bankers and lawyers, private and public enforcement, the media and fiduciary duty will be among the topics explored. The course will not only examine developments in the law and regulation, but will also incorporate insights derived from economics, finance and organizational management.

A paper is required.
