J.D. Seminar 1126 | 2 credit hours

This seminar is designed to develop the basic skills of drafting and interpreting legal contracts used in modern business transactions. Weekly class sessions will focus on how contracts are structured, how to draft essential contract terms, and how to draft a contract to achieve your client’s business goals. Students who successfully complete this seminar will know:

• the business purpose of typical contract concepts;
• how to translate a typical deal term into a contract provision;
• how to draft basic contracts with clarity and without ambiguity; and
• how to work through the drafting process.

Students work individually and collaboratively on weekly drafting assignments to achieve these objectives. The major drafting project will be an Asset Purchase Agreement due at the end of the semester.

Students may not receive credit for both this seminar and Drafting and Negotiating Commercial Transactional Documents.

Attendance at all class sessions is mandatory and all enrolled and waitlisted students must attend the first class in order to be enrolled.
